Welcome to Sidelined — a platform for expression, connection, and community. By accessing or using the Sidelined mobile application (or the software therefor), website, or other services (collectively, the "Service") provided by Sidelined, LLC ("we", "our", “Sidelined” or "us"), you agree to be bound by these Terms and Conditions (these "Terms"). Your use of the Service is also subject to our Privacy Policy (which can be found at https://sidelined.com), which covers how we collect, use, share and protect your personal information, and our Community Guidelines (which can be found below), which contains additional requirements relating to the acceptable use of the Service. Our Privacy Policy and our Community Guidelines are incorporate herein by this reference.
If you do not agree to these Terms, you may not access or use the SIDELINED MOBILE APPLICATION OR WEBSITE, OR ANY other Service.
1. Eligibility
You must be at least 13 years old (or the applicable higher age of digital consent in your state) and reside in the united states to use the Service. If you are under 18, you must have your parent or legal guardian’s CONSENT to access or use the service.
2. User License; Account Registration
2.1 User License. Subject to Terms (including your account registration set forth in Section 2.2 below), Sidelined grants to you a non-exclusive, non-transferable personal license to download and use the Service software application for Android, iOS or other mobile platform (the “Software”), as applicable, and (i) use it for the your own personal use, (ii) install the Software on only one Android, iPhone, iPad or other mobile device supported by Sidelined (each a “Device”), and (iii) make one copy of the Software in any machine readable form solely for back-up purposes, provided you reproduce the Software in its original form and with all proprietary notices on the back-up copy. The foregoing license shall be effective until your account is terminated, and is not intended to prohibit you from installing and backing-up the Software for another Device on which you also agreed to these Terms.
You agree not to, or not to permit anyone else on your behalf to, (i) create derivative works based on the Software, (ii) use the Software for any purpose other than as described herein, (iii) copy or reproduce the Software except as described in these Terms, (iv) sell, assign, license, disclose, distribute or otherwise transfer or make available the Software or any copies of the Software in any form to any third parties, (v) alter, translate, decompile, reverse assemble or reverse engineer the Software, or attempt to do any of the foregoing, except to the extent this prohibition is not permitted under an applicable law, or (vi) remove or alter any proprietary notices or marks on the Software.
2.2 Account Registration. In order to access the Service, you will have to create an account. You may never use another's account without permission. You alone are totally responsible for any activity that takes place under your account and you must notify us immediately of any breach of security or unauthorized use of your account. When you create an account:
• You must provide accurate, current, and complete information;
• You are responsible for keeping your login credentials secure; and
• You are responsible for all activity on your account.
We reserve the right to disable accounts that violate these Terms or our Community Guidelines.
3. User-Generated Content
3.1 Video and Multimedia Posts
As a registered user of the Service, you may upload and post videos, photos, audio, and other materials and media content ("User Content"). By uploading User Content on the Service, you grant Sidelined a non-exclusive, royalty-free, worldwide, perpetual license to:
- Use, host, store, reproduce, distribute, and publicly display your User Content;
- Modify or adapt your User Content for use within the Service (e.g., resizing for devices); and
- Exploit or promote your User Content in connection with the promotion of the Service and other services offered by Sidelined, including in advertisements and media, subject to these Terms.
You retain ownership of your User Content, but you agree that you are responsible for ensuring that:
- You own it or have been granted the prior permission to upload, share, or distribute it; and
- It does not infringe on the intellectual property, privacy, or other rights of any person or entity.
You (and not Sidelined), have sole responsibility for all of your User Content that you upload, post, email, transmit or otherwise make available through the Service, and to make sure that you are in compliance with the rules of behavior set forth in these Terms and our Community Guidelines relating to such User Content.
The Service allows sharing of information (including your User Content) in many ways, such as through your profile and posts. Depending on the feature and choices you make, information that you share may be seen by other users of the Service or others. Where we have made settings available, we will honor the choices you make about who can see your User Content or other information (e.g., restricting your profile visibility).
We shall have no liability of any kind with respect to any User Content posted by you or other users of the Service. You may not rely on any User Content created by other users of the Service or otherwise created, distributed and displayed on any part of the Service. We do not control or monitor all of the User Content posted via the Service and do not guarantee the accuracy, integrity or quality of such User Content.
We may remove User Content that violates these Terms, our Community Guidelines or applicable law, or is reported by users.
3.2 Feedback
By submitting suggestions or other feedback regarding the Service to us, you agree that we can (but do not have to) use and share such feedback for any purpose without compensation to you.
4. Community Guidelines
You agree to engage respectfully and comply with our Community Guidelines (which can be found below) when using the Service, including by not:
- Posting explicit, violent, offensive, hateful, defamatory or unlawful content;
- Harassing, bullying, impersonating, or stalking others;
- Using bots or automation to post or interact;
- Sharing spam, malicious links, or misleading information; or
- Interfering with the normal functioning of the Service.
We encourage users to report inappropriate content. We may remove posts, restrict visibility, or suspend accounts. We also reserve the right to suspend accounts that engage in abusive behavior.
5. Advertising and Sponsored Content
5.1 Platform Advertising
Sidelined may display advertisements, promotions, or sponsored content alongside your User Content. You agree that:
- Business-related communications from Sidelined, such as Service announcements and account administrative notices, may be sent to you and you agree that these communications are not "unsolicited commercial email advertisements" and thus, subject to all applicable laws, you agree to receive them.
- Ads may be shown to you based on your profile, behavior, or interactions and you agree that these communications are not "unsolicited commercial email advertisements" and thus, subject to all applicable laws, you agree to receive them; and
- We may use your public profile or content to promote the Service, subject to these Terms and our Privacy Policy.
You will not be compensated for these placements unless explicitly agreed to in writing. However, we will not include your content in advertisements for the products and services of third parties to others without your separate consent (including sponsored content).
You understand and agree that your correspondence or business dealings with, or participations in promotions of, advertisers found on or through the Service, including payment for, and delivery of, goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and the advertiser. You agree that Sidelined shall not be responsible or liable for any loss or damage incurred as the result of such dealings or as the result of the presence of such advertisers on the Service.
6. Intellectual Property
All intellectual property related to the Service and its contents — trademarks, service marks, trade names, logos, software, branding, layout, features, functionality and copyrighted works — is owned by Sidelined, its licensors or other providers of such material. You may not copy, distribute, modify, or reverse-engineer any part of the Service. Except as expressly authorized by Sidelined, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service, in whole or in part, at any time. The foregoing shall not limit Section 2.1 above. Notwithstanding the foregoing, users of the Service retain ownership of their User Content.
7. Privacy
We take your privacy seriously. Our Privacy Policy (which can be found at https://sidelined.com) outlines how we collect, use, share and protect your personal information. By using the Service, you consent to our data practices. You and Sidelined agree that (i) if User Content includes personal data, it is subject to our Privacy Policy, and (ii) Sidelined may access, store, process, share and use any information (including personal data) that you provide in accordance with the terms of our Privacy Policy and your choices.
8. Availability, No Obligation to Store, Account Termination
8.1 Availability
We may change, suspend or discontinue any or all features of the Service, including general practices and limits regarding use of the Service (such as the maximum number of messages which may be sent or received from an account of the Service), or the entire Service. We may also limit the availability of features, content and other information so that they are not available to all users.
8.2 No Obligation to Store
We don’t promise to store or show (or keep showing) any information (including of your User Content) that you’ve shared. The Service is not a storage service. You agree that we have no obligation to store, maintain or provide you a copy of any content or other information that you or others provide, except to the extent required by applicable law or as noted in our Privacy Policy.
8.3 Account Termination
We may suspend or terminate your account, without notice, at any time, including, without limitation:
- If you breach these Terms or any posted policy or guidelines relating to the Service (including our Privacy Policy and our Community Guidelines); or
- If required by law enforcement or legal process.
You may terminate and delete your account at any time. Termination of your account by either you or is does not waive rights accrued before termination.
9. Disclaimers
YOUR use of the Service is at your sole risk. The Service is provided on an "as is" and "as available" basis. SIDELINED EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SIDELINED MAKES NO REPRESENTATION REGARDING THE USE, OR THE RESULT OF USE, OF ANY CONTENT CONTAINED ON THE SERVICE IN TERMS OF ACCURACY, RELIABILITY, OR OTHERWISE. FURTHER, SIDELINED MAKES NO WARRANTY THAT (1) THE SERVICE WILL MEET YOUR REQUIREMENTS, (2) THE SERVICE WILL BE UNINTERRUPTED, TIMELY SECURE, OR ERROR-FREE, (3) THE RESULTS OF USING THE SERVICE WILL BE ACCURATE OR RELIABLE, (4) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED THROUGH YOUR USE OF THE SERVICE WILL MEET YOUR EXPECTATIONS, OR (5) THE SOFTWARE RELATING TO THE SERVICE WILL BE ERROR-FREE AND/OR ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED. No advice or information, whether oral or written, obtained by you from SIDELINED or through or from the Service shall create a warranty not expressly stated in these TERMS.
IN ADDITION, TO THE FULLEST EXTENT PROVIDED BY LAW, WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SERVICE OR ITEMS OBTAINED THROUGH THE service, OR YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT.
10. Limitation of Liability
You expressly understand and agree that TO THE FULLEST EXTENT PROVIDED BY LAW, SIDELINED, ITS AFFILIATES AND their RESPECTIVE LICENSORS SHALL NOT be liable to you for any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, including, but not limited to, damages for loss of profits, goodwill, use, data, PAIN AND SUFFERING, EMOTIONAL DISTRESS or other intangible losses, OR THE COST OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS OR SERVICES PURCHASED OR OBTAINED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SERVICE, even if SIDELINED has been advised of the possibility of such damages or such damages were reasonably foreseeable, resulting from YOUR use or the inability to use the Service, unauthorized access to or alteration of your transmissions or USER CONTENT, statements or conduct of any third party, including OTHER USERS OF OR advertisers on the Service, and/or any other matter relating to the Service. In no event will SIDELINED be liable to you for any amount of money over One Hundred U.S. Dollars ($100.00), which you acknowledge to be a fair and reasonable sum in the event of any loss by you of any kind.
11. Modifications to the Terms
We reserve the right to update these Terms and any posted policy or guidelines relating to the Service (including our Privacy Policy and our Community Guidelines) at any time. If required by applicable law or we make material changes, we will provide notice through the Sidelined mobile application, the Sidelined website or other means. If you object to any of the changes, you may close your account. Your continued use after such changes means you accept the updated Terms, or posted policy or guideline, as applicable.
12. Governing Law and Jurisdiction
All matters relating to the Service or these Terms, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of New Jersey, without giving effect to any choice or conflict of law provision or rule (whether of the State of New Jersey or any other jurisdiction).
Any legal suit, action, or proceeding arising out of, or related to the Service or these Terms shall be instituted exclusively in the federal courts of the United States or the courts of the State of New Jersey, in each case located in the City of Newark and County of Essex, New Jersey, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms in your country of residence or any other relevant country. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
YOU AGREE THAT REGARDLESS OF ANY STATUTE OR LAW TO THE CONTRARY, ANY CLAIM OR CAUSE OF ACTION YOU MAY HAVE ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR THESE TERMS MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE OR BE FOREVER BARRED.
13. Indemnity.
You agree to defend, indemnify, and hold harmless Sidelined, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees and all court costs) arising out of or relating to (i) your violation of these Terms or any posted policies relating to the Service (including, but not limited to, the Privacy Policy and the Community Guidelines), (ii) your use of the Service (including, but not limited to, your User Content), other than as expressly authorized in these Terms or any posted policies relating to the Service, or (iii) your use of any information obtained from the Service.
14. Export Regulation
The mobile application may be subject to United States export control laws, including the Export Control Reform Act and its associated regulations. You shall not, directly or indirectly, export, re-export, or release the mobile application to, or make the mobile application accessible from, any jurisdiction or country to which export, re-export, or release is prohibited by law, rule, or regulation.

16. Copyright Infringement Claims.
16.1 Reporting Claims of Copyright Infringement
Sidelined respects the intellectual property of others and we request our users do the same. If you believe that your User Content is posted or accessible on or via the Service in a way that constitutes copyright infringement, you may request removal of those materials (or access to them) by submitting written notification to our copyright agent designated below. In accordance with the Online Copyright Infringement Liability Limitation Act of the Digital Millennium Copyright Act (17 U.S.C. § 512) ("DMCA"), the written notice (the "DMCA Notice") must include substantially the following:
(a) your physical or electronic signature;
(b) a description of the copyrighted work you believe to have been infringed or, if the claim involves multiple works, a representative list of such works;
(c) identification of the material you believe to be infringing in a sufficiently precise manner to allow us to locate that material;
(d) adequate information by which we can contact you (including your name, postal address, telephone number, and, if available, email address);
(e) a statement that you have a good faith belief that use of the copyrighted material is not authorized by the copyright owner, its agent, or the law; and
(e) a statement by you made under penalty of perjury, that the information in your written DMCA notice is accurate and that you are the copyright or intellectual property holder or our authorized to act on behalf of the holder.

If you fail to comply with all of the requirements of Section 512(c)(3) of the DMCA, your DMCA Notice may not be effective.
Please be aware that if you knowingly materially misrepresent that material or activity on the Website is infringing your copyright, you may be held liable for damages (including costs and attorneys' fees) under Section 512(f) of the DMCA.
16.2 Counter Notification Procedures
If you believe that your User Content that you posted via the Service was removed or access to it was disabled by mistake or misidentification, you may file a counter notification with us (a "Counter Notice") by submitting written notification to our copyright agent designated above. Pursuant to the DMCA, the Counter Notice must include substantially the following:
(a) your physical or electronic signature;
(b) identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access disabled;
(c) adequate information by which we can contact you (including your name, postal address, telephone number, and, if available, email address);
(d) a statement under penalty of perjury by you that you have a good faith belief that the material identified above was removed or disabled as a result of a mistake or misidentification of the material to be removed or disabled; and
(e) a statement that you will consent to the jurisdiction of the Federal District Court for the judicial district in which your address is located (or if you reside outside the United States for any judicial district in which the Website may be found) and that you will accept service from the person (or an agent of that person) who provided the Service with the complaint at issue.
The DMCA allows us to restore the removed content if the party filing the original DMCA Notice does not file a court action against you within ten business days of receiving the copy of your Counter Notice.
Please be aware that if you knowingly materially misrepresent that material or activity on the Service was removed or disabled by mistake or misidentification, you may be held liable for damages (including costs and attorneys' fees) under Section 512(f) of the DMCA.
16.2 Repeat Infringers
It is our policy in appropriate circumstances to disable and/or terminate the accounts of users who are repeat infringers.
17. Links from the Service
If the Service contains links to other sites and resources provided by third parties, these links are provided for your convenience only. This includes links contained in advertisements, including banner advertisements and sponsored links. Links to such sites are provided as a service to our users and are not sponsored by, endorsed or otherwise affiliated with us. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them. If you decide to access any of the third-party websites linked to the Service, you do so entirely at your own risk and subject to the terms and conditions of use and privacy policies for such websites.
18. Reliance on Information Posted
This Service includes content provided by third parties, including materials provided by other users and third-party licensors. All statements and/or opinions expressed in these materials, and all articles and responses to questions and other content, other than the any content provided by us, are solely the opinions and the responsibility of the person or entity providing those materials. These materials do not necessarily reflect the opinion of Sidelined. We are not responsible, or liable to you or any third party, for the content or accuracy of any materials provided by any third parties.
19. Miscellaneous
These Terms, including any of our posted policies or guidelines relating to the Service (including our Privacy Policy and our Community Guidelines), as well as any additional terms that may be provided by us when you engage with a feature of the Services, is the only agreement between us regarding the Service.
Our failure to exercise or enforce any right or provision of these Terms shall not operate as a waiver of such right or provision. Any waiver of these Terms by us must be in writing and signed by an authorized representative of Sidelined to be effective.
If a court with authority over these Terms finds any part of it unenforceable, we and you agree that the court should modify the terms to make that part enforceable while still achieving its intent. If the court cannot do that, we and you agree to ask the court to remove that unenforceable part and still enforce the rest of these Terms.
You may not assign or transfer these Terms (or your right to use the Service) to anyone without our consent. However, you agree that we may assign these Terms, and assign or delegate, in whole or in part, any of our rights or obligations under these Terms. There are no third-party beneficiaries to these terms, except for indemnified parties specified in Section 13 above.
📘 Community Guidelines

At Sidelined, we strive to build a positive, inclusive, and safe environment where everyone can express themselves, discover new content, and connect with others. These Community Guidelines outline the standards that apply to everyone using the Sidelined service.
🚫 1. Prohibited Content
You may not post, share, or promote content that contains or promotes:
- Hate speech targeting race, ethnicity, nationality, gender, sexual orientation, religion, or disability;
- Defamatory or libelous material;
- Violence or threats, including glorification of harm or encouragement of self-harm or suicide;
- Sexually explicit, obscene or pornographic material, including nudity and adult content;
- Harassment, bullying, or intimidation, including personal attacks and targeted abuse;
- Illegal activities such as drug use, theft, or weapons-related content; or
- Graphic or shocking content, including gore or animal cruelty; or
You may also not post, share, or promote content that infringes, misappropriates, or violates a third party's intellectual property rights, or a third party's rights of publicity or privacy.
🤝 2. Respectful Behavior
You must:
- Treat others with respect and dignity;
- Refrain from spamming, trolling, or flooding comment sections; and
- Avoid impersonating other individuals, brands, or organizations.
🔐 3. Safety and Security
You may not:
- Share private or personally identifiable information (like addresses, phone numbers, or private messages) or images of any other person without consent;
- Post misleading content or spread false information;
- Attempt to hack, phish, share malicious links or misuse the Sidelined service infrastructure;
- Upload, transmit, or otherwise provide to or through the Sidelined service, any information or materials that contain, transmit, or activate any code or programs intended to damage the operation of the Sidelined service or another’s computer or system (such as viruses, worms, time bombs, cancelbots and Trojan horses); or
- Engage in any activity or use the Sidelined service in any manner that could damage, disable, overburden, impair or otherwise interfere with or disrupt the Sidelined service, or any servers or networks connected to the Sidelined service or Sideline’s security systems.
💬 4. Video and Comment Etiquette
When posting video or text content:
- Use original or authorized material;
- Avoid profanity or aggressive behavior; and
- Do not use comments to harass, incite arguments, or spread negativity.
📣 5. Advertising and Promotion
You may promote your brand or content only within permitted tools and formats. Do not:
- Post unauthorized commercial messages;
- Use bots, automation or deceptive engagement tactics; or
- Mislead users with fake endorsements or affiliations.
⚠️ 6. Reporting and Enforcement
Help us maintain a safe space.
- Report abusive content or behavior;
- Accounts may be warned, suspended, or terminated for guideline violations or violations of our Terms and Conditions or other policies; and
- Repeated or serious violations may result in permanent bans.
